  • We are seeking a strategic and compliance-driven Team Lead, Strategy Advisory and Company Secretariat to align corporate governance with TSL’s strategic objectives, ensure full regulatory adherence, and enable commercially sound, risk-mitigated business transactions. This role serves as both a legal risk manager and a deal enabler, supporting the Board, Management, and SBUs in executing high-impact initiatives while safeguarding the organization’s integrity, competitiveness, and long-term value creation.

Key Responsibilities:

  • Guide Management and the Board in corporate strategy formulation, evaluation, execution, and risk/opportunity assessment.
  • Coordinate cross-functional inputs to develop aligned strategic plans and monitor implementation via performance dashboards and corrective actions.
  • Ensure 100% compliance with corporate governance, statutory filings, and regulatory obligations e.g., CAC, NMDPRA, NUPRC, NOTAP.
  • Organize and document all Board and Committee meetings notices, agendas, minutes, resolutions with timely, accurate, and actionable outputs.
  • Maintain up-to-date statutory books, registers, and policies accessible for audits and regulatory reviews.
  • Advise on legal implications of transactions, investments, and partnerships; lead due diligence and deal structuring to minimize risk and maximize value.
  • Draft, review, and negotiate key transaction documents SPAs, JV agreements, financing, service contracts with clear, enforceable, and favorable terms.
  • Oversee transaction lifecycle, coordinating internal Finance, SBM, Operations and external stakeholders regulators, counsel ensuring timely execution and post-closing compliance.
  • Develop and implement proactive risk mitigation strategies, particularly in oil & gas regulations and environmental standards.
  • Build frameworks for monitoring performance against strategic goals and facilitate seamless communication across Board, Management, regulators, and partners.

Requirements:

  • Bachelor’s Degree in Law LLB/BL.
  • ICSAN membership and Business Analysis Certification ECBA – IIBA is an added advantage.
  • Minimum of 5–7 years post-call experience in corporate/commercial law, governance, and transaction advisory.
  • Minimum of 3 years in a leadership or supervisory role, with proven ability to lead legal and secretariat teams.
  • Demonstrated expertise in strategic planning, corporate governance, contract drafting/negotiation, and regulatory compliance.
  • Proven track record in structuring and executing complex transactions M&A, JVs, financing with measurable value creation.
  • Deep knowledge of Nigerian corporate law, CAC filings, oil & gas regulations NMDPRA, NUPRC, and competition law.
  • Sector exposure in logistics, oil & gas, energy, or infrastructure is highly preferred.
